UNIVERSAL TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) govern your participation in, purchase of, and access to products, services, experiences, events, digital content, educational programs, certification programs, and other offerings provided by Consciously Living™, LLC (“Company,” “We,” “Us,” or “Our”), owned and managed by Leah Smith.

This Agreement applies to offerings operated under Consciously Living™, LLC, including but not limited to:

• Face Yoga Wellness Box™

• Faith & Facials™

• The Slumber Party Series™ and Slumber Party Box™ (including remaining inventory, legacy products, and previously purchased experiences)

• Face Yoga Institute™, including instructor training, certification programs, educational programs, masterclasses, and curricula

• Fika Skön™ and related skincare or wellness offerings

• Corporate wellness programs and partnerships

• Private facial wellness experiences

• Virtual and in-person facial wellness experiences

• Speaking engagements, workshops, and presentations by Leah Smith on behalf of Consciously Living™, LLC

• Live commerce activities, including WhatNot, TikTok Shop, and similar platforms

• Affiliate product recommendations

• Any future brands, experiences, products, programs, or offerings developed or operated under Consciously Living™, LLC

By purchasing, registering for, accessing, attending, receiving, or participating in an offering associated with Consciously Living™, LLC, you acknowledge and agree to these Terms and Conditions.

1. CORPORATE STRUCTURE

The brands and trade names identified above are owned or operated by Consciously Living™, LLC, a Louisiana limited liability company.

Transactions, invoices, payment confirmations, programs, products, and services offered under these brands are provided through Consciously Living™, LLC unless expressly stated otherwise.

2. NATURE OF OFFERINGS

Facial Wellness Experiences and Boxes

Face Yoga Wellness Box™, Faith & Facials™, Slumber Party Box™, and related experiences are educational and experiential wellness offerings.

Depending upon the particular experience, activities may include skincare education, topical skincare products, facial exercises, face yoga, facial massage or self-massage, gua sha, facial rollers or other facial tools, lymphatic techniques, relaxation practices, breathwork, mindfulness, journaling, spiritual reflection, guided conversation, and other wellness activities.

Participants are always responsible for determining whether a particular activity or product is appropriate for them.

Faith & Facials™

Faith & Facials™ may incorporate Christian faith-based conversation, Scripture, prayer, reflection, skincare education, facial wellness practices, and community connection.

Participation is voluntary. Faith & Facials™ is not pastoral counseling, psychological counseling, mental health treatment, medical treatment, or therapy.

Corporate and Community Wellness

Corporate, educational, senior-community, organizational, and community wellness sessions are educational and engagement-focused experiences.

Nothing presented through these programs constitutes medical, psychological, therapeutic, legal, or financial advice.

Speaking Engagements

Speaking engagements, workshops, panels, presentations, and educational sessions provided by Leah Smith are educational and informational in nature and do not constitute professional medical, legal, financial, psychological, or therapeutic advice.

Face Yoga Institute™ Education and Certification

Face Yoga Institute™ provides educational programs, masterclasses, professional development, and instructor or practitioner training.

Successful completion of a certification program does not constitute a medical, healthcare, massage therapy, cosmetology, esthetics, physical therapy, mental health, or other professional license.

Graduates are individually responsible for understanding and complying with any licensing, insurance, scope-of-practice, business, or regulatory requirements applicable to them in their jurisdiction.

3. IMPORTANT HEALTH AND MEDICAL DISCLAIMER

Consciously Living™, LLC provides educational and wellness information.

Nothing offered by the Company, including face yoga, facial exercises, facial massage techniques, lymphatic techniques, skincare education, relaxation practices, breathwork, wellness discussions, spiritual discussions, educational materials, or products included in a box or kit, is intended to diagnose, treat, cure, or prevent any disease, illness, injury, or medical condition.

Our offerings are not substitutes for individualized medical advice or treatment.

You should consult an appropriately licensed healthcare professional if you have questions concerning whether a product, facial exercise, skincare practice, tool, technique, or wellness activity is appropriate for you.

You should exercise particular caution and seek professional guidance when appropriate if you have an existing medical or dermatological condition, active infection, open wound, significant skin irritation, known allergy, recent surgery, recent cosmetic procedure, injectable treatment, or other circumstance that could affect safe participation.

You are responsible for listening to your body and discontinuing any exercise, technique, tool, or product that causes pain, dizziness, unusual discomfort, irritation, or other adverse symptoms.

4. PRODUCT, INGREDIENT, ALLERGY & SKIN-SENSITIVITY DISCLAIMER

PLEASE READ THIS SECTION CAREFULLY BEFORE USING ANY PRODUCT PROVIDED IN A BOX, KIT, EVENT, OR EXPERIENCE.

Face Yoga Wellness Box™, Faith & Facials™, Slumber Party Box™, event kits, samples, gifts, and other Company offerings may contain skincare products, cleansers, moisturizers, exfoliants, masks, oils, botanical ingredients, fragrances, disposable products, facial tools, or other products manufactured or supplied by third parties.

Ingredients and formulations may vary between boxes, events, product batches, manufacturers, and substitutions.

If you have known allergies, highly sensitive skin, a dermatological condition, or uncertainty about an ingredient, do not use the product until you have reviewed its ingredients and determined that it is appropriate for you.

By choosing to use a product, you acknowledge that:

• You are responsible for knowing and communicating your own allergies, sensitivities, medical conditions, and skin concerns.

• You are responsible for reading the manufacturer's complete ingredient list, warnings, directions, and contraindications before use.

• You should patch test unfamiliar topical products before applying them more broadly.

• Participation in an event does not require you to apply any particular skincare product.

• You may decline or discontinue use of any product or technique at any time.

• You should immediately discontinue use if you experience burning, significant redness, swelling, itching, rash, pain, difficulty breathing, or another adverse reaction.

• Serious or concerning reactions should be addressed promptly with an appropriate healthcare professional or emergency service.

• A product being described as “natural,” botanical, gentle, clean, or wellness-oriented does not mean that an allergic reaction or sensitivity cannot occur.

Consciously Living™, LLC does not manufacture most third-party skincare products included in boxes or used during experiences and does not independently control their formulations.

Product ingredients, formulations, packaging, directions, and manufacturer warnings may change. The ingredient information appearing on the product's current packaging should be reviewed before use.

To the fullest extent permitted by applicable law, the Company is not responsible for adverse reactions resulting from an individual's allergy, sensitivity, failure to review product ingredients or instructions, misuse of a product, or use contrary to manufacturer directions.

Nothing in these Terms is intended to waive liability that cannot legally be waived under applicable law.

5. FACIAL TOOLS, FACE YOGA & MOVEMENT

Face yoga, facial massage, gua sha, facial rollers, lymphatic techniques, and other movement-based wellness practices involve individual physical participation.

You are responsible for determining your ability to participate safely.

Never perform a movement or technique that causes pain or significant discomfort.

Instructions and demonstrations are provided for general educational purposes and cannot account for every participant's medical history, anatomy, previous procedures, skin condition, or individual circumstances.

Participants who have recently received facial surgery, dental surgery, injectable treatments, fillers, cosmetic procedures, laser treatments, chemical peels, or other professional facial or skin treatments should follow their treating provider's instructions regarding when facial movement, massage, skincare products, or tools may safely be resumed.

6. ELIGIBILITY

Unless otherwise stated for a particular program, offerings are designed for adults age 18 and older.

A minor may participate only when permitted by the Company and with appropriate parent or legal guardian authorization.

7. INTELLECTUAL PROPERTY

All proprietary curricula, educational materials, videos, written content, exercises, program materials, branded terminology, graphics, logos, course materials, and other original content belonging to Consciously Living™, LLC or its brands are protected by applicable intellectual property laws.

Except where expressly authorized in writing, Company materials may not be copied, reproduced, republished, sold, redistributed, uploaded, recorded, sublicensed, or represented as another person's original work.

Face Yoga Institute™ certification participants receive only the rights specifically granted by their applicable certification or licensing terms.

Certification does not transfer ownership of Company intellectual property.

8. EVENT PARTICIPATION & CONDUCT

Participation in in-person, virtual, private, corporate, community, or hybrid experiences is voluntary.

Participants agree to:

• Participate within their personal comfort level.

• Follow reasonable safety instructions.

• Treat facilitators, hosts, staff, and other participants respectfully.

• Refrain from harassment, threatening behavior, discrimination, or intentionally disruptive conduct.

• Refrain from recording, reproducing, livestreaming, or distributing protected program content without written permission.

The Company may remove a participant from an event when reasonably necessary for safety, inappropriate conduct, substantial disruption, or violation of these Terms.

9. PHOTOGRAPHY, VIDEO & MEDIA

Some public, corporate, community, or group events may be photographed or recorded.

When photography or recording is planned, the Company may provide notice through event registration materials, signage, announcements, releases, or other appropriate means.

Participants who do not wish to be intentionally photographed or recorded for promotional use should notify the Company or event organizer when practical.

Separate releases or permissions may be obtained when appropriate, particularly for featured photographs, interviews, testimonials, or promotional content.

Submission of a testimonial, photograph, video, or other content to the Company does not automatically grant unlimited usage rights unless the participant has agreed to the applicable release or permission.

10. PAYMENTS, REFUNDS & CANCELLATIONS

General Purchases

Prices and payment requirements are displayed at the time of purchase or contained in an applicable proposal, invoice, contract, or registration page.

Unless otherwise stated, purchases are final after fulfillment, digital access, customization, or performance of services has begun, subject to applicable law.

Face Yoga Wellness Boxes, Faith & Facials Boxes, Slumber Party Boxes & Physical Products

Because boxes may contain skincare, personal-use products, samples, or hygienic items, opened or fulfilled boxes generally cannot be returned or exchanged.

Customers should report missing or transit-damaged items within seven business days of delivery and provide photographs when reasonably requested.

Live Events

Event tickets are generally non-refundable after purchase unless otherwise stated during registration.

Tickets may be transferred to another eligible participant when approved by the Company.

If the Company cancels an event, the Company may provide a rescheduled date, credit, or refund as appropriate under the circumstances and applicable law.

Private Events

Private-event pricing, deposits, minimum participation requirements, travel costs, shipping charges, cancellation deadlines, and rescheduling terms may also be established through the applicable proposal, invoice, booking agreement, or event contract.

Where event-specific written terms conflict with these general Terms, the event-specific agreement will control with respect to that event.

Private Sessions and Appointments

Unless otherwise stated at booking, cancellations must be received at least 24 hours before the scheduled appointment to be eligible for rescheduling.

Same-day cancellations and no-shows may result in forfeiture of payment.

Certification and Educational Programs

Certification and educational program payments are generally non-refundable after digital curriculum access, proprietary materials, live training, or other substantive program benefits have been provided, except where otherwise required by law or expressly stated in the enrollment agreement.

Payment plans represent a commitment to the full program price unless expressly stated otherwise in writing.

Completion of coursework alone does not necessarily entitle a participant to certification if required tuition, assessments, practicum requirements, or other stated certification requirements remain incomplete.

11. SHIPPING & DELIVERY

Customers are responsible for providing an accurate and complete delivery address.

The Company is not responsible for delivery problems resulting from incorrect or incomplete addresses supplied by the customer.

Shipping timelines are estimates and may be affected by carrier delays, weather, natural disasters, holidays, or circumstances outside the Company's reasonable control.

For private events where multiple participant boxes are shipped together to a host or organizer, the host or organizer is responsible for distributing the individual boxes after delivery unless separate shipping arrangements have been purchased.

Additional shipping charges may apply when individual boxes must be shipped separately to participants.

12. THIRD-PARTY PRODUCTS & AFFILIATE RELATIONSHIPS

The Company may use, recommend, demonstrate, sell, or provide products manufactured by independent third parties.

Third-party manufacturers are responsible for their own formulations, manufacturing processes, labeling, warranties, warnings, product changes, and regulatory compliance.

The Company may receive commissions, affiliate compensation, referral compensation, complimentary products, or other benefits from certain recommendations or purchases. Material relationships will be disclosed as required by applicable law.

Customers should make purchasing decisions based upon their own needs and review the manufacturer's current information before using a product.

13. FACE YOGA INSTITUTE™ CERTIFICATION

Face Yoga Institute™ graduates may teach material to the extent authorized by their particular certification program.

Certified participants may not:

• Claim that certification constitutes a healthcare or other governmental professional license.

• Make false or unsupported medical claims regarding face yoga or related techniques.

• Reproduce or sell proprietary Company curriculum as their own.

• Provide other individuals with unauthorized access to proprietary training materials.

• Use Company intellectual property beyond the rights granted through their certification.

Certification holders are responsible for complying with the laws, professional regulations, business licensing requirements, insurance requirements, and scope-of-practice rules applicable where they operate.

The Company may suspend or revoke certification credentials for material violations of applicable certification requirements, intellectual-property restrictions, or misrepresentation of the credential, subject to any applicable certification agreement.

14. TECHNOLOGY & VIRTUAL PARTICIPATION

Virtual programs require an appropriate device and internet connection.

The Company cannot guarantee uninterrupted access to third-party platforms and is not responsible for participant-side internet problems or third-party outages outside its reasonable control.

Participants may not record virtual programs or redistribute access links, recordings, screenshots, course materials, or other protected content without authorization.

15. PRIVACY

The Company may collect information reasonably necessary to process orders, fulfill shipments, administer programs, communicate with customers, conduct events, and operate its websites.

Information may include names, email addresses, mailing addresses, registration information, communication preferences, and transaction information.

Payment information may be processed through third-party payment providers. The Company does not intentionally store complete payment-card information when processing is handled by those providers.

The Company does not sell personal information for monetary consideration.

Information may be shared with service providers when reasonably necessary to operate the business, fulfill an order, administer a program, comply with legal obligations, or protect legitimate business interests.

Company websites may use cookies, analytics services, advertising technologies, or similar tools. Available browser or platform controls may be used to manage certain technologies.

Marketing communications may include an unsubscribe mechanism where required.

16. ASSUMPTION OF RISK

Participation in wellness activities and use of skincare products or facial tools may involve risks, including temporary soreness, irritation, sensitivity, allergic reaction, redness, bruising, discomfort, or other unintended effects.

By voluntarily participating or using products, you acknowledge that individual responses vary and agree to exercise reasonable judgment regarding your participation.

Nothing in this section eliminates rights or remedies that cannot legally be waived.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Consciously Living™, LLC and its members, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in an offering or use of a product.

Any limitations contained in this Agreement apply only to the extent permitted by applicable law.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by law.

18. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Consciously Living™, LLC from third-party claims, losses, or reasonable expenses arising from your material violation of these Terms, unlawful conduct, unauthorized use of Company intellectual property, or intentional misuse of products or services.

19. FORCE MAJEURE

The Company will not be responsible for delays, cancellations, shipping interruptions, or inability to perform caused by circumstances reasonably outside its control, including severe weather, natural disasters, illness, transportation interruptions, government actions, internet or technology failures, carrier disruptions, or similar events.

When appropriate, the Company may offer rescheduling, substitution, credit, or another reasonable resolution.

20. CHANGES TO PRODUCTS & EXPERIENCES

Products contained in Face Yoga Wellness Box™, Faith & Facials™, Slumber Party Box™, event kits, or other curated offerings may vary according to availability.

The Company may substitute a product with a reasonably comparable product when necessary.

Photographs, demonstrations, advertisements, or previous versions of a box do not guarantee that every future box will contain identical products, brands, sizes, packaging, colors, or formulations.

21. MODIFICATIONS TO THESE TERMS

The Company may update these Terms periodically to reflect changes in products, services, business practices, or applicable requirements.

The current version will identify its most recent revision date.

Changes will apply prospectively as appropriate and subject to applicable law.

22. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles.

To the extent legally permissible, disputes arising from these Terms or Company offerings shall be brought in an appropriate court located in Livingston Parish, Louisiana.

Before initiating formal proceedings, the parties are encouraged to attempt in good faith to resolve the dispute directly.

23. SEVERABILITY

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

24. ENTIRE AGREEMENT & OFFERING-SPECIFIC TERMS

These Terms constitute the general terms applicable to Company offerings.

Certain events, certifications, private bookings, corporate engagements, or other programs may have additional written agreements, waivers, releases, proposals, invoices, enrollment terms, or policies.

Those additional terms are incorporated as applicable to the particular offering. If an offering-specific written agreement expressly conflicts with these general Terms, the more specific agreement will govern that particular matter.

ACKNOWLEDGMENT

By purchasing, registering for, accessing, receiving, attending, or voluntarily participating in an offering provided by Consciously Living™, LLC, you acknowledge that you have had an opportunity to review these Terms and Conditions and agree to them to the extent permitted by applicable law.
